2. Who may use Tallyo
Tallyo is offered to people aged 18 or over who use it for a UK business, trade, profession or self-employed activity. It is not intended for personal, family or household use. If you need to use Tallyo as a consumer, contact us before creating an account.
Tallyo is designed for ordinary invoicing workflows. It is not intended for medical, safeguarding, criminal-offence, legal-case, special-category or similarly regulated records, services aimed at children, or another workflow that requires specialist compliance controls.
By creating an account, you confirm that you meet these requirements, have authority to act for the relevant business and accept these terms.
3. The service
Tallyo provides focused tools for business profiles, customers, saved items, quotes, invoices, credit notes, payment records, recurring invoices, reminders, exports and related activity history. Available functions are described on the Tallyo website and may depend on your subscription, account status, connected providers and supported browser.
Tallyo is not accounting, tax, legal, debt-collection or financial-advice software. You are responsible for checking that your documents, tax treatment, records, customer communications and use of Tallyo meet the requirements that apply to your business.
The Free Invoice Maker works in the browser without an account. Its draft is not automatically saved to a Tallyo account. You are responsible for saving the finished document you need.
4. Accounts and security
You must provide accurate account information, keep it current and protect your password, email account, recovery codes and authenticator access. Accounts are for one business and one user unless we expressly agree otherwise. Do not share an account or allow another person to use your credentials.
You must tell us promptly at main@tallyo.co.uk if you reasonably believe that an account has been accessed without permission. Tallyo support will never ask for your password, authenticator secret, current authenticator code or recovery codes.
5. Tallyo Pro subscriptions
Tallyo Pro costs £8 per month or £80 per year. Monthly and annual plans include the same product features. Annual subscriptions are paid upfront. The checkout page shows the billing interval and total amount Tallyo will charge before you confirm payment. Prices are in pounds sterling. If Tallyo is required to add tax to the subscription charge, it will be shown before payment.
Your subscription starts when Stripe confirms payment and renews automatically for the same billing interval until cancelled. Stripe processes subscription payments for Tallyo. You authorise Stripe to collect each recurring subscription payment on Tallyo's behalf using your selected payment method.
We may change subscription prices or plans by giving reasonable advance notice. A price increase applies no earlier than your next renewal after the notice period. You may cancel before the new price takes effect.
6. Cancellation, failed payments and refunds
You can cancel future renewal through the Stripe Customer Portal available from your Tallyo account. Cancellation normally takes effect at the end of the period you have already paid for, and you can continue using the paid service until then.
Annual subscriptions are paid upfront for twelve months of access. Cancelling future renewal does not normally create an automatic partial refund for unused time. Contact main@tallyo.co.uk if you believe a charge is incorrect or the service was materially unavailable.
If a renewal payment fails, Tallyo normally allows a seven-day grace period while Stripe retries or you update the payment method. If payment is still unresolved, the account may become restricted or read-only. You can normally sign in, view and export existing records, but creating or changing records, automations and payment actions are blocked until access is restored.
Nothing in these terms removes a refund, cancellation or other right that applicable law says cannot be excluded.
7. Card payments from your customers
If you connect your own Stripe account, supported customers can pay your invoices by card. The charge is a direct charge on your connected Stripe account. Your business is the merchant of record and remains responsible for the sale, customer relationship, receipt or invoice, taxes, refunds, disputes, chargebacks and compliance obligations connected with that payment.
Stripe provides onboarding, identity checks, payment processing and payouts under your agreement with Stripe. Stripe's fees apply; Tallyo does not add an application fee at initial launch. Tallyo does not hold your customer's card details or your connected bank details.
Payment availability depends on Stripe approving and maintaining the capabilities of your connected account. We may block or limit payment actions when Stripe reports that an account or capability is incomplete, restricted or unavailable. Tallyo cannot guarantee payment acceptance, settlement timing, payout timing or the outcome of a dispute.
8. Your information and your customers' information
You retain responsibility for the information and content you enter into Tallyo. You confirm that you have a lawful reason to collect, use, store and send it, that it is accurate where required and that your instructions do not infringe another person's rights.
The Tallyo Privacy Notice explains how Tallyo uses personal information for its own account, subscription, security, support and legal purposes. Where you are controller and Tallyo processes business-user data on your behalf, the Tallyo Business-User Data Processing Terms form part of these terms.
Do not put passwords, authenticator secrets or codes, recovery codes, full payment-card details, bank-login details or prohibited sensitive or regulated information into free-text fields.
9. Acceptable use
You must not use Tallyo to:
- break the law, mislead another person, send unlawful or unwanted communications, or create a false or fraudulent document;
- infringe intellectual-property, privacy, confidentiality or other rights;
- upload malware, interfere with security or availability, probe another account, bypass a usage or access control, or reverse engineer the service except where law expressly permits it;
- resell, share or provide Tallyo as a service to another business without our written agreement;
- use automated activity that creates unreasonable load or exceeds documented rate or abuse controls; or
- use Tallyo for a prohibited sensitive, regulated or high-risk workflow described in section 2.
10. Availability, changes and support
We aim to keep Tallyo available and accurate, but do not promise uninterrupted or error-free service. Providers, maintenance, internet connections and events outside our reasonable control can affect availability. Where practical, we will communicate material planned changes or incidents through the website, app or account email.
We may improve, replace or stop a feature where reasonably necessary for security, law, provider compatibility or product operation. We will give reasonable notice before a material change that substantially reduces a paid service, unless urgent security, legal or provider action makes advance notice impracticable.
Support is available at main@tallyo.co.uk. We do not promise a particular response time unless separately agreed.
11. Intellectual property
Tallyo and its licensors own the service, website, software, branding and related intellectual property. Subject to these terms and payment of applicable fees, we give you a limited, non-exclusive, non-transferable right to use Tallyo for your own business during the applicable service period.
You keep ownership of your business content. You give us the limited rights needed to host, process, display, transmit, back up and otherwise handle it to provide, secure and support Tallyo and comply with law.
12. Suspension and ending an account
We may restrict or suspend an account where reasonably necessary because of unpaid charges, a material breach, security risk, unlawful use, provider restriction or a legal requirement. Where appropriate, we will explain the reason and give you a reasonable opportunity to resolve it. Urgent action may be taken without advance notice to protect users, data, providers or the service.
You may ask to close an account by emailing privacy@tallyo.co.uk. We review requests manually and may ask for proportionate identity verification. Export records you need before closure.
After the service ends, we delete or anonymise information when it is no longer necessary. We may retain limited records where required for tax, accounting, fraud prevention, payment disputes, regulatory duties, security incidents or legal claims. Provider backups expire under their normal documented cycles. We do not promise a fixed closed-account deletion deadline.
13. Liability
Nothing in these terms excludes or limits liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, or another liability that applicable law does not allow us to exclude or limit.
Subject to that paragraph, Tallyo is not liable for indirect or consequential loss, loss of profit, revenue, business, opportunity, goodwill or anticipated savings, or a loss caused by your unlawful or incorrect content, failure to keep required records, provider decision, connected Stripe account or use outside the documented service.
Subject to the first paragraph of this section, Tallyo's total liability arising from the service in any twelve-month period is limited to the greater of £100 and the fees you paid Tallyo for the service during that period.
You are responsible for keeping copies of records that your business is legally required to retain and for checking important documents before relying on or sending them.
14. Changes to these terms
We may update these terms to reflect product, provider, legal or operational changes. We will give reasonable notice of a material change that affects an active paid subscription. The updated terms will state their effective date. If you do not accept a material change, you may cancel future renewal before it takes effect.
15. Governing law and disputes
These terms and any non-contractual obligations connected with them are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where applicable law gives you a mandatory right to use another court.
